Utterly Terms of Service

1. Acknowledgement

This Agreement is between you and Semantic Bridge LLC only, and not with Apple Inc. ("Apple"). Semantic Bridge LLC, not Apple, is solely responsible for the Licensed Application and its content. This Agreement may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions as of the date you accepted this Agreement.

2. Scope of License

The Licensor grants you a non-transferable, non-exclusive license to use the Licensed Application on any Apple-branded products that you own or control, subject to the Usage Rules set forth in the Apple Media Services Terms and Conditions. This license also allows members of your family who share access through Family Sharing or volume purchasing to use the Licensed Application.

You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof, except to the extent that such restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-source components included with the Licensed Application.

3. User Content

Any content you create using the Licensed Application remains yours. The Licensed Application processes data locally on your device, and we do not claim any ownership or rights over your content.

4. Consent to Use of Data

You agree that the Licensor may collect and use technical data and related information — including but not limited to technical information about your device, system and application software, and peripherals — that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Application. The Licensor may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you. 5. In-App Purchases and Subscriptions

The Licensed Application may offer in-app purchases or subscriptions. All purchases are processed by Apple through the App Store and are subject to Apple's terms and conditions. We do not process payments directly. Subscription management and cancellation are handled through your Apple ID settings.

6. Maintenance and Support

Semantic Bridge LLC is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this Agreement or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

7. Warranty

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. WE DO NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE LICENSED APPLICATION, THAT THE FUNCTIONS CONTAINED IN THE LICENSED APPLICATION WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE LICENSED APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE LICENSED APPLICATION WILL BE CORRECTED.

In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Semantic Bridge LLC's sole responsibility.

8. Product Claims

You acknowledge that Semantic Bridge LLC, not Apple, is responsible for addressing any claims you or any third party may have relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEMANTIC BRIDGE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF SEMANTIC BRIDGE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SEMANTIC BRIDGE LLC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF FIFTY DOLLARS ($50.00).

10. Intellectual Property Rights

You acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Semantic Bridge LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

11. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

12. Third-Party Terms

You must comply with applicable third-party terms of agreement when using the Licensed Application. For example, if you use a VoIP application, you must not be in violation of your wireless data service agreement when using the Licensed Application.

13. Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

14. Termination

This Agreement is effective until terminated by you or Semantic Bridge LLC. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you shall cease all use of the Licensed Application and destroy all copies thereof.

15. Modifications to the Licensed Application

We reserve the right to modify or discontinue, temporarily or permanently, the Licensed Application or any features or portions thereof without prior notice. You agree that we will not be liable for any modification, suspension, or discontinuance of the Licensed Application.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Broward County, Florida.

17. Changes to This Agreement

We may update this Agreement from time to time. We will notify you of any changes by posting the new Agreement on this page. Changes become effective when posted. Your continued use of the Licensed Application after changes are posted constitutes acceptance of the revised Agreement.
